The Gowling WLG team developed an initial draft consortium contract for Fan Challenge UK and facilitated the development of the consortium agreement between ten parties, including Ford, Penlon, Airbus, McLaren, HVM Catapult, Siemens plc, Siemens Healthineers, Renishaw, Ultra Electronics and Meggitt, as well as negotiations and agreements with the UK cabinet. Its goal is to take a production line that currently produces 60 fans per week and rebuilds the production line into one that can make 1500 degrees per week to meet health needs. This activity was reversed in a very short period of time. This consortium agreement was concluded on behalf of the contracting parties after a duty of vigilance, an important administrative and operational work that Oracle has carried out on behalf of the parties since the conclusion of the Joint Development Agreement (CDA) as announced on 16 December 2019. This consortium agreement is an essential development that succeeds the JDA, as it defines the proposed participation structure for the projects, as provided for by the Pakistani government`s 2010 Directive on Independent Energy Production (PIP). The company has taken all necessary steps to formally obtain a Memorandum of Understanding (“LOI”) from the Pakistani government on the basis of the proposed participation structure. The final participation of the parties at the financial close is subject to final signature in due course.
A specialized team from the international law firm Gowling WLG has been asked to finally question a consortium agreement for the manufacture of fans for the NHS. There are 4 model research cooperation agreements for universities and companies that wish to jointly conduct collaborative research projects. Four bis. to treat confidentially all information (written or oral) relating to this agreement and the affairs of another party that it has received as a result of discussions that have taken place or have been concluded or executed on this agreement (information); b. not disclosing, in whole or in part, the information to another person without the prior written consent of the other party, with the exception of agents, agents and students who are involved in conducting or evaluating the research and who must know as much about the performance of their duties; and c. to use the information exclusively for research and not for its own benefit or for third parties. Provisions (a), (b) and c) do not apply to all or part of the information, as it can be proven by the receiving party such as: iv. The party receiving it is known before the date of this agreement and does not receive, directly or indirectly, from another party; or by a third party who legally has such information that has not been obtained from a person in violation of a party`s duty of trust; or vi.
